📜 Sun Waves Solar – Detailed Terms and Conditions for Solar Installation and Services

These Terms and Conditions (“Terms”) govern the provision of solar energy system design, equipment sale, installation, maintenance, and monitoring services by Sun Waves Solar (“the Company”) to the customer (“Client” or “you”). By signing the Sales Agreement or allowing the commencement of work, you agree to be bound by these Terms.
1. Scope of Work and Agreement

Sales Agreement: The specific details of the system (e.g., panel model, inverter size, system capacity, price) are defined in the Sales Agreement or Engineering Procurement and Construction (EPC) Contract. These Terms supplement that agreement.

Site Access: The Client agrees to provide the Company and its subcontractors safe, unrestricted, and timely access to the property and utility areas necessary for site surveys, installation, inspection, and maintenance.

Permitting: The Company will manage the application for necessary permits and utility interconnection approvals, but the Client is responsible for facilitating access and providing required property documentation promptly.
2. Pricing, Payment, and Financing

Pricing: The total system price is fixed upon contract signing, subject only to change orders requested by the Client or unforeseen site conditions discovered after the initial survey (which will require a written amendment).

Payment Schedule: Payment will be due in milestones (e.g., Deposit, Installation Commencement, Inspection/Commissioning, Final Payment), as detailed in the Sales Agreement.

Financing: If the project is financed through a third-party lender, the Client is responsible for meeting all terms of the loan agreement. Failure to secure or maintain financing may result in the immediate termination of this agreement and forfeiture of the initial deposit.
3. Installation, Warranties, and Ownership

Workmanship Warranty: The Company warrants that the installation workmanship will be free from defects for a period of [Insert Years, e.g., ten (10) years]. This warranty covers installation defects (e.g., leaks, loose wiring) but excludes defects in the manufactured equipment.

Equipment Warranty: Equipment warranties (panels, inverters, batteries) are provided directly by the manufacturer. The Company will assist the Client in submitting claims under these manufacturer warranties.

Title Transfer: Title (ownership) of the solar equipment transfers to the Client only upon full receipt of all outstanding payments by the Company. Risk of loss transfers upon final commissioning of the system.
4. System Performance and Liability

Performance Estimate: Any estimated energy production figures are based on computer modeling, historical weather data, and site conditions. The Company does not guarantee a specific amount of energy production as actual performance is dependent on external factors (e.g., weather, shade, dust).

Damage to Property: The Company and its subcontractors will take reasonable care during installation. The Company’s liability for damage to the structure or surrounding property caused directly by the installation work is limited to the reasonable cost of repair or replacement.

Utility Disruption: The Company is not liable for temporary utility service disruptions required for interconnection or for any actions or inactions of the utility company regarding net metering or grid policies.
5. Termination and Default

Client Default: If the Client fails to make payments, revokes site access, or fails to fulfill material contractual obligations, the Company may suspend work or terminate the agreement and retain any payments made to cover costs incurred.

Company Default: If the Company materially fails to meet installation obligations, the Client may terminate the agreement and demand a refund of payments made, minus the cost of any unrecoverable materials or permits already procured.
6. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with the Services shall be governed by and construed in accordance with the laws of [Insert the Country/Jurisdiction, e.g., India].
